Terms of Service

Important: Please read these Terms before using Seller’s Bay. By accessing or using the Service you agree to be bound by them.

1. Acceptance of Terms

These Terms of Service (“Terms”) are a legally binding agreement between you and Seller’s Bay (“Seller’s Bay”, “we”, “us”, or “our”), of 3 Green Street, Waterford City, Ireland, X91 NY5A. By creating an account, starting a trial, purchasing credits, connecting a store, or otherwise using the Seller’s Bay platform and related websites, apps, and APIs (the “Service”), you agree to these Terms and to our Privacy Policy, Return & Refund Policy, and Cookie Policy.

If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation. If you do not agree, do not use the Service.

The Service is intended for business users aged 16 or older. You must not use the Service if you are prohibited from doing so under Irish, EU, or other applicable law, including sanctions rules.

2. Description of Service

Seller’s Bay is a SaaS platform for eCommerce SEO, content, and campaign work. Features may include, without limitation: keyword tracking; WooCommerce and Shopify product import, AI optimisation, and sync; content clusters; social draft generation; SEO and marketing reports; GEO / AI-visibility tools; opt-in weekly scheduled research jobs; agency team and client-portal access (subject to plan campaign and staff-seat limits); and a credit-based usage system. Features depend on your plan, trial status, remaining credits, and configuration. We may add, change, or withdraw features, including features that rely on third-party APIs.

3. Accounts, security, and agency use

You must provide accurate registration and billing details and keep them current. You are responsible for all activity under your account, including actions by staff, clients, or anyone you invite. Keep credentials confidential, enable two-factor authentication where offered, and tell us promptly of unauthorised use.

Agency owners remain responsible for client-portal and staff access they grant, for store API credentials they connect, and for content published to connected shops or social accounts. Staff seats are limited by plan; client portal viewers do not consume staff seats. Sharing a login instead of using Agency Team invites is at your own risk.

4. Billing, subscriptions, trials, and credits

Paid features are billed through Stripe. Catalog prices are in euro (EUR) unless checkout shows another currency (for example Adaptive Pricing). Taxes, VAT, and payment-method fees may be added at checkout. You authorise us and Stripe to charge the payment method on file for the plan, renewals, taxes, and any credit-pack purchases you confirm. Invoices and billing notices may be sent only by email to your account address.

Plan names, prices, included credits, campaign limits, and billing term (monthly or yearly) are those shown at checkout and on Account → Billing. We may change list prices for future periods. Material price changes for a renewal take effect from the next billing period after we make the new price available at checkout or in-product.

4.1 Subscriptions and cancellation

  • Subscriptions renew automatically at the end of each paid period unless you cancel first.
  • Cancel from Account → Billing → Cancel subscription. Cancellation is at period end: we stop future renewals and there is no next billing date while the plan is canceling.
  • You keep paid-plan benefits until the paid-through date shown as Access ends (the current Stripe billing-period end, including after renewals that already succeeded).
  • Before that date, Keep my subscription restores renewal without a new checkout. After that date you must subscribe again.
  • Failed renewals may be retried by Stripe. We may restrict paid features, withhold new subscription credits, or cancel the subscription after repeated failure.

4.2 Trials

We may offer a free trial without requiring a card. Trial length, included credits, campaign limits, and any one-time research allowances (for example a shared Organic Rankings / Domain Research report limit) are shown in-product and on Plans. A cardless trial does not convert to a paid subscription automatically when it ends. Buying a credit pack during a trial may end the trial and move the account to pay-as-you-go under the limits shown in-product.

Some checkout flows may still collect a card, show a verification or authorisation charge, and convert to a paid plan when the trial ends. Where a card is on file for that path, unless you cancel before the trial ends we charge the selected plan and the subscription continues on that plan’s term. Length, charges, and the post-trial price are shown at checkout and in Account. It is your responsibility to cancel in time if you do not want to be billed on a card-on-file trial.

4.3 Credits

  • Subscription credits are granted with a paid period or trial according to the plan.
  • They roll over while the subscription (including a canceling paid period) remains active, subject to any in-product rollover ceiling.
  • They are spent first. After the subscription ends they remain usable for 90 days, then expire.
  • Purchased (add-on) credit packs are spent after subscription credits and do not expire.
  • Credits have no cash value, are not property, and are not transferable except as we expressly allow.
  • We may debit credits for confirmed AI, tracking, research, social, scheduled jobs you enable, or similar actions. Cost prompts are estimates; the amount charged is the amount recorded when the job runs.
  • Unused credits are not redeemable for cash. We may refuse jobs that exceed remaining credits or fair-use limits.
  • We may send low-balance notices and emails (for example around 25% and 10% of the period’s credits remaining) and pause opted-in weekly jobs when the next full batch does not fit your balance.

4.4 Opt-in weekly jobs

Weekly keyword tracking, Organic Rankings, backlinks, and Google GEO snapshots run only after you enable them for a campaign (or Domain Research lookup). They charge credits only when a full batch fits your balance; otherwise the job pauses and we may email you. You can disable them anytime.

4.5 Agency staff seats

Paid plans include a staff-seat limit shown on Plans. Client portal viewers do not count as staff. Seat limits are enforced when you invite staff and again when a staff invite is accepted. Exceeding the cap requires an upgrade or reducing active staff seats.

4.6 Chargebacks and taxes

Contact support before disputing a charge with your bank. Unjustified chargebacks may lead to suspension and recovery of fees. You are responsible for applicable taxes. Where Stripe collects tax, the amount shown at checkout is payable in full.

5. Refunds and consumer cooling-off

Subscription fees are generally non-refundable once a billing period has started, including after a trial converts to paid. Cancelling stops future renewals only; you keep paid-plan access until the paid-through date shown as Access ends. Purchased credit packs may be refunded only if none of those pack credits have been used. Duplicate or clearly erroneous charges can be refunded. If we refund a payment, we remove credits that came from it. If those credits were already spent, we do not automatically create a negative balance; we may review the account.

Credits have no cash value and unused credits are not redeemable for cash. Failed jobs that were charged in error are normally corrected by restoring credits to the account rather than a card refund.

If you are a consumer in the EEA or UK, you may have a 14-day right to withdraw from a distance contract. By starting a trial, subscription, or credit purchase you request that we begin the digital service immediately. You acknowledge that you lose that withdrawal right once performance has begun (including trial access, credit grants, or AI/processing use). Nothing in these Terms excludes mandatory statutory consumer rights that cannot be waived.

To request a refund review, email support@sellersbay.com with your account email and invoice or payment reference before disputing a charge with your bank.

6. Account closure and remaining credits

You may deactivate or request deletion from Account close-account options.

  • Deactivation: the account is inactive; data and remaining credits are kept until you log in again or we close it under these Terms.
  • Deletion: a 30-day grace period applies. You may cancel the request during that period. The subscription stays active during the grace period and is canceled when deletion is completed. Renewals that fall in the grace period may still be charged unless you cancel from Account → Billing. After deletion, data and remaining credits are removed and cannot be recovered, except records we must keep for law, tax, or dispute handling.

Before deletion completes, where the product offers it, you may transfer unused credits to another existing Seller’s Bay account. Any discount code we issue for leftover credits is discretionary, has no cash value, and is not guaranteed. Unused credits are otherwise forfeited on deletion.

We may suspend or terminate accounts immediately for abuse, fraud, chargeback abuse, illegal activity, or security risk. We may also close accounts that remain unused for a prolonged period after notice where notice is reasonably practicable.

7. Store, payment, and other integrations

If you connect WooCommerce, Shopify, Google, social networks, or other third-party services, you authorise us to access and use those APIs as needed to provide the features you enable (including reading and, when you request it, updating product or content data). You must have the right to share those credentials and data. You can disconnect a store or OAuth connection at any time. Third-party outages, rate limits, policy changes, or revoked tokens are outside our control.

Payments are processed by Stripe. We do not store full card numbers. Stripe’s terms also apply to payment processing.

8. AI content, SEO results, and your responsibility

By using AI, reporting, ranking, or GEO features you acknowledge that:

  • Outputs are generated or assembled automatically and may be incomplete, outdated, or wrong.
  • You must review content before you publish it to a store, CMS, or social network.
  • You are responsible for accuracy, advertising rules, consumer law, IP, and platform policies.
  • You retain ownership of your store and campaign content; you grant us a licence to host and process it solely to provide the Service.
  • We do not use your content to train Seller’s Bay’s own models. Third-party AI providers process prompts under their terms.
  • We do not guarantee search rankings, traffic, sales, AI-overview placement, or any business outcome.

9. Acceptable use

You must not:

  • Use the Service for unlawful, infringing, deceptive, or harmful content or activity
  • Probe, overload, scrape, or reverse engineer the Service except as allowed by law
  • Resell or white-label the Service except through features we provide (such as client portal)
  • Circumvent credit, plan, or rate limits, or share accounts to evade billing
  • Upload malware or attempt unauthorised access to our systems or other customers
  • Abuse chargebacks or payment disputes instead of contacting support

We may rate-limit, throttle, or refuse jobs that threaten stability or fair use. Help chat and similar tools are for product guidance only and do not change billing or data.

10. Privacy

We process personal data as described in our Privacy Policy. If you invite clients or staff, or connect a store, you are the controller of personal data you upload or share (including shopper and client data). We process that data as your processor to provide the Service. You warrant you have a lawful basis and all required consents, notices, and contracts. Account login and billing data is processed as described in the Privacy Policy.

11. Intellectual property, feedback, and beta features

We and our licensors own the Service, software, documentation, trademarks, and look-and-feel. These Terms do not transfer that ownership. You may not copy, modify, or create derivative works of the Service except as needed for ordinary use.

If you send feedback or suggestions, you grant us a perpetual, worldwide, royalty-free licence to use them without obligation to you. Features labelled beta, preview, or experimental are provided as-is, may change or end without notice, and may be inaccurate.

You must also comply with third-party terms (including WooCommerce, Shopify, Google, Meta, Stripe, and AI providers). You must not use the Service to scrape, overload, or access third-party systems in breach of their terms. You are responsible for exporting any data you need; we are not a backup service and may delete data after account closure as described above.

12. Service availability and third parties

The Service is provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation. OpenAI, Google, Stripe, DataForSEO, hosting providers, and other vendors may fail, delay, or change their APIs. We are not liable for those failures or for data you export to connected shops or social platforms.

13. Disclaimer of warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Advice, rankings, AI copy, and reports are tools for your own professional judgement, not professional legal, tax, or marketing advice.

14. Limitation of liability

To the maximum extent permitted by law, Seller’s Bay and its officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for loss of data, goodwill, or business, arising from the Service or these Terms.

Our aggregate liability for all claims in any 12-month period is limited to the fees you actually paid us for the Service in that period. These limits do not apply to liability that cannot be limited under Irish or EU law (including fraud, or death/personal injury caused by negligence).

15. Indemnity

You will defend and indemnify Seller’s Bay against claims, damages, and reasonable legal costs arising from your content, your stores, your clients, your misuse of the Service, or your breach of these Terms or of third-party rights, except to the extent caused by our wilful misconduct.

16. Suspension and termination

We may suspend or terminate access immediately for breach, non-payment, legal risk, or to protect the Service. You may stop using the Service and cancel as described in Section 4. Provisions that should survive (including billing already incurred, IP, disclaimers, limits, and indemnity) survive.

17. Changes

We may update these Terms. The “Last updated” date will change. Continued use after the update is acceptance of the revised Terms. If you do not agree, cancel and stop using the Service.

18. Governing law and disputes

These Terms are governed by the laws of Ireland, without regard to conflict-of-law rules. The courts of Ireland have jurisdiction, except that EEA/UK consumers may also bring claims in their country of residence where mandatory law allows. We first try to resolve disputes informally via support@sellersbay.com. Nothing in these Terms excludes mandatory Irish or EU consumer, product-liability, or data-protection rights that cannot be waived.

19. General

These Terms are the entire agreement for the Service. If a clause is unenforceable, the rest remains in force. Failure to enforce a right is not a waiver. You may not assign the agreement without our consent; we may assign it in a reorganisation or sale. Force majeure events (including third-party API outages) excuse delayed performance. Electronic notices to your account email are sufficient. You and we are independent contractors. There is no partnership, employment, or agency except as required to process payments through Stripe. Export-control and sanctions laws apply: you must not use the Service if you are a prohibited party.
